The client is an entrepreneur who invested in and built a perfume and fragrance distribution business in Florida. His original concept centered on apparel and design, but as the idea developed, he shifted the company’s focus toward perfumery and fragrance distribution, which better matched the market he wanted to serve. 

He set up the systems needed to store, market, and ship products. The business carries a wide range of fragrances and fills orders for customers across Florida. As the owner, the client directs the business’ day-to-day operations. His work includes managing inventory, guiding sales and marketing, and overseeing order fulfillment, along with the decisions that shape how the company grows, which means that he holds an active position within the company and is not simply a passive investor.

The client’s initial E-2 change of status filing set out the investment and the business he had built, from the capital he committed to the warehouse space and inventory he used to begin selling.  

USCIS issued an RFE requesting further documentation of the investment and the company’s day-to-day operations. The response therefore needed to document that the investment was real and committed with capital at risk, that the business was active and operating, and that the client was actively directing and developing the company.

The RFE response documented the company’s actual commercial activity through its fragrance inventory, itemized sales invoices to individual customers, and carrier records for orders packaged and shipped over a recent multi-week period. Together, this evidence pointed to a business engaged in real, day-to-day commercial activity, not capital sitting idle. 

To show the investment was committed and at risk, the response traced the client’s capital being invested into the business through inventory purchases, warehouse costs, and operating expenses. Those records confirmed that the funds were irrevocably committed and subject to loss if the business failed. The response also established the client’s control of the company: as majority owner, he sets its direction and oversees daily operations, supported by payroll for an employee under his supervision. 

The Result

E-2 Change of Status Approved with Premium Processing

USCIS approved the client’s E-2 change of status on September 9, 2026, with Premium Processing, following the firm’s response to the RFE. With his change of status approved, the client can continue running his perfume and fragrance distribution business in the United States during his authorized period of stay. He can continue to run daily operations, serve his customers, and build on the company he invested in and created.
